Next Capital Limited (“us”, “we”, or “our”) is the owner of the iInvest website and mobile application (collectively known as the “Service”). This page informs you of our Terms and Conditions.

By downloading and using our app and website, you implicitly agree to the Terms and Conditions mentioned on this page, and our privacy policy. The links to both are provided inside our app and on the website.

PLEASE READ THE PRIVACY POLICY AND THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING OUR SERVICES, YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS.

This Terms and Conditions is a legally binding agreement between you and Next Capital Limited. By visiting, accessing, or using our website or app, or providing information to us in any other format, you agree to the terms and conditions outlined in this Terms and Conditions, as amended from time to time. You also consent to the collection and use of information as described in these Terms and Conditions. We reserve the right to amend, remove, or add to the Terms and Conditions at any time. Please refer to the “Effective Date” at the top of this document to check for updates. Any changes to the Terms and Conditions will be effective upon posting. Your continued use of the Service or provision of personal information following any changes signifies your acceptance of the updated Terms and Conditions.

If, at any time, you do not wish to accept the Terms and Conditions, you may not use our Services. Any additional terms and conditions proposed by you that conflict with or are in addition to these Terms and Conditions are expressly rejected by Next Capital Limited and will not be valid.

You acknowledge and agree that Next Capital Limited may discontinue or modify the Services at any time without notice. Next Capital Limited also reserves the right to discontinue or restrict your use of the Services for any reason without notice.

Your Account

As part of the necessary steps to set up an account on the Service (an “Account”) and gain access to specific parts of the Service, you will be requested to provide your full name, email address, password, and phone number (referred to as “Registration Credentials“) or register via one of the Third Party Accounts (as defined below). It is crucial that the information you provide for your Registration Credentials is accurate, truthful, and kept up-to-date. Please be aware that we reserve the right to prevent the creation of your Account if we are unable to verify the authenticity of the provided Registration Credentials.

As an alternative to registering directly on the Site or App by providing your Registration Credentials, we offer the option to register and log in to your Account using one of your existing social media accounts such as Facebook, Twitter, or Google (referred to as “Third Party Accounts“). For more details on the process of logging in to your Account through a Third Party Account, please refer to our Privacy Policy.

In the event that you do not log into your Account using a Third Party Account, please note that the email address and password provided as part of your Registration Credentials will be used for logging in to your Account. It is your sole responsibility to maintain the confidentiality of your email address and password, and you must immediately notify us in case of any unauthorized use of your Account. You are solely liable for all activity and usage occurring on your Account, including, but not limited to, any usage authorized by you for third parties using your email address and password.

Please be aware that you are only permitted to maintain one Account at a time for accessing the Services, and by creating an Account, you confirm that you do not currently possess any other active Account(s).

We retain the right to terminate your Account at our sole discretion and without any prior notice.

Subscription-based Services

Although the basic functionality of the app is free, we provide premium features for users who buy our subscription. We offer services, products, and subscriptions for a subscription fee (respectively, “ Subscription Based Services ” and “ Subscription Fee ”). Once your payment is verified by our relevant department(s), you’ll get access to the subscription-based services immediately. The Subscription-Based Services may be subject to additional terms and conditions that users must agree to during the registration process. These terms may include the terms of service and privacy policies of third parties involved in providing specific Subscription-Based Services. It is crucial to thoroughly review and accept these terms before proceeding with the subscription. Please note that Next Capital Limited assumes no liability or responsibility for any products or services offered by third parties as part of the Subscription-Based Services. If you register for Subscription Based Services, you agree to pay the applicable Subscription Fees set forth on the Site and/or App and must designate a payment method and provide us with accurate billing and payment information, and you have the continuing obligation to keep it up to date.

Payment: By using our services, you confirm that you meet the minimum age requirement to enter into a legal agreement. You are responsible for paying for any Subscription Based Services you purchase from us (including our third party payment providers), as well as any other charges incurred under your account, including applicable taxes and fees. All charges incurred under your account, whether made by you or by others with access to your account, are your responsibility. You authorize us to charge your designated payment method for these charges, and in case of payment failure, to charge any other payment method you have on file with us. It is your responsibility to ensure that your payment method is valid and up to date. While we do not store your payment information, Our third party payment providers may retain information about your payment method(s) and use it for future purchases. They may also obtain updated information from the issuer of your payment method in accordance with their policies and procedures. In some cases, we may continue charging a payment method even after its expiration date, subject to approval by payment processors or issuing banks. Additional charges may apply for certain payment methods, such as payments from checking or savings accounts. We may charge for Subscription Based Services in advance and on different billing cycles, as long as your subscription remains active, even if you have not downloaded or used the services or accessed your online account.

Renewal: For many of our Subscription Based Services, we utilize auto-renewal. At the end of each subscription term, your subscription will be automatically renewed, and the payment method you provided will be charged, unless you cancel your subscription at least 48 hours before the current subscription period ends. Unless stated otherwise, your subscription will be renewed at the current price, excluding any promotional or discount pricing. We may choose to post individual charges to your payment method or aggregate charges for multiple Subscription Based Services.

Fraud Protection: As part of our efforts to ensure the validity of the credit card information you provide, we may take steps such as debiting small amounts (less than Rs. 10) from your credit card and then immediately crediting it back. This is done for verification and anti-fraud purposes, and by using our services, you authorize us to perform these actions.

Free Trials: We may offer free trials for certain Subscription Based Services, allowing you to try them without any charges or obligations (“Free Trial”). We reserve the right to limit you to one free trial or promotion for a Subscription Based Service and may prohibit the combination of multiple free trials or other promotional offers.

Termination: We reserve the right to change, discontinue, or terminate any or all aspects of a Subscription Based Service without notice. This includes access to support services, content, and other related products or services.

No Refunds: At iInvest, we have a no refund policy to promote openness and ensure a fair business model. Refer to our Refend Policy available on the iInvest website for more information.

Right to Deny Service

If you try to abuse our apps in any way or try to use the services for free which are intended to be offered only in return for payment or distribute or receive our paid content or services, Next Capital Limited reserves the right to terminate your subscription and block you from our platform. In case the violation is severe and warrants legal action and claim for damages, we have the right to pursue all such avenues.

Disclaimer

The content presented on our Services is obtained from various sources, and due to the nature of electronic distribution, there may be delays, omissions, or inaccuracies in the content and the Services.

THE SERVICES, INCLUDING ANY MATERIAL AND CONTENT DISPLAYED ON THEM (“CONTENT“), ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES. By making a purchase, you confirm that all the information provided is accurate, complete, and up to date. You are responsible for paying all charges incurred using your chosen payment method at the prices in effect at the time of the transaction, including any applicable taxes.

PSX stands as a third-party provider within our network. It is imperative to acknowledge that the PSX data provided via our application, inclusive of any related content, remains strictly intended for internal employment. The act of disseminating, including, but not limited to, recycling, replication, or commercial vending of the PSX data, whether to external parties or entities, is expressly prohibited.

In the event that our contractual arrangement with any third-party provider, including PSX, is concluded prematurely or terminated early, regardless of the circumstances, we retain the right to seek settlement of any pending financial obligations from the user. Nonetheless, under all circumstances, the users shall not be entitled to claim any losses or damages resulting from the early termination of the agreement, whether from the Company itself or its affiliated third-party providers.

PLEASE NOTE THAT IN ANY CIRCUMSTANCES, THE LIABILITY OF NEXT CAPITAL LIMITED, ITS OFFICERS, DIRECTORS, OR EMPLOYEES TO YOU OR ANY THIRD PARTIES IS LIMITED TO THE AMOUNT OF MONEY YOU TRANSFERRED TO NEXT CAPITAL LIMITED IN RELATION TO THE SPECIFIC TRANSACTION GIVING RISE TO SUCH LIABILITY.

Notice to Apple Users

To the extent that you are using the App on an iOS device, you acknowledge that these Terms and Conditions constitute an agreement between you and Next Capital Limited, and not with Apple Inc. (“Apple“). Apple is not responsible for the Services or the content provided through the Services. Apple is not obligated to provide any maintenance or support services for the Services. If the Services do not meet any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the mobile application to you, to the extent permitted by applicable law. Apple does not have any other warranty obligations regarding the Services. Apple is not responsible for addressing any claims by you or any third party relating to the Services or your possession or use of the Services, including product liability claims, any claims that the Services do not comply with applicable legal or regulatory requirements, or claims arising under consumer protection or similar legislation. Apple is not responsible for investigating, defending, settling, or discharging any third-party claims alleging infringement of intellectual property rights resulting from the Services or your possession or use of the Services. When using the Services, you agree to comply with any applicable third-party terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and Conditions, and upon your acceptance of these Terms and Conditions, Apple will have the right (and will be deemed to have accepted the right) to enforce these terms against you as a third-party beneficiary. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country by the U.S. Government, and you are not listed on any U.S. Government list of prohibited or restricted parties.

In-App Purchases:

When you make an In-App Purchase, the payment will be charged to your Apple account upon confirmation of the purchase.
In-App Purchases may include subscription options. If a free trial period is offered, any unused portion of the free trial will be forfeited when you purchase a subscription, if applicable.
In-App Purchases may be auto-renewable subscriptions. These subscriptions will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current subscription period. Your Apple account will be charged for renewal within 24 hours prior to the end of the current subscription period. You can manage your subscriptions and turn off auto-renewal by going to your Apple account settings after purchase.

Market Information

Next Capital Limited may provide you with a wide range of financial information, including, but not limited to, market data, quotes, news, analyst opinions, research reports, graphs, and other data (“Market Information“), through its Services. This Market Information may be generated internally or obtained from third-party agents, vendors, or partners (“Third Party Providers“).

Use & Access

You are solely responsible for ensuring that you have the necessary means to access and utilize the Services, including but not limited to your personal computer or mobile device, connectivity hardware, and telecommunication lines.

All costs associated with connecting to the Services and any related service fees are your responsibility. You assume all risks associated with the use and storage of information on your personal computer, mobile device, or any other device through which you access the Services (referred to as “Computer“).

It is your responsibility to implement and maintain appropriate security measures to protect your Computer and the information and data stored within it. Next Capital Limited will not be held liable for any failure, damage, or destruction of your Computer systems, data, or records, or for any delays, losses, errors, or omissions arising from the failure or mismanagement of telecommunications or Computer equipment or software.

You will not in any way, whether directly or indirectly, expose Next Capital Limited or any of Next Capital Limited’s online service providers to any computer virus or other similarly harmful or inappropriate material or device.

In addition, your use of the Services is subject to the following restrictions:

You may not use, sell, rent, lease, copy, modify, distribute, redistribute, license, publicly perform or display, publish, edit, create derivative works from, or otherwise make unauthorized use of the Services, Content, and Marks without the prior written consent of Next Capital Limited.
No part of the Services, Content, and/or Marks may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted without the explicit written consent of Next Capital Limited.
You may not access the Services to build a similar or competitive service.
The Services may not be used in connection with material that promotes illegal activities or violates any applicable laws or regulations, including intellectual property rights, information protection, and privacy laws.
The Services may not be accessed or used by automated machines, bots, spiders, or similar automated features or services.
You may not impersonate any person or entity or misrepresent affiliation or association with any person or entity, or provide fraudulent, misleading, or inaccurate contact information.
You may not remove, circumvent, disable, damage, or interfere with any features of the Services, or attempt unauthorized access to any part of the Services.
You may not violate the privacy, publicity, and other rights of other users or third parties, or collect data and information about other users or third parties without their consent.
You may not use the Services in connection with material that is offensive, inaccurate, abusive, obscene, fraudulent, indecent, pornographic, threatening, or otherwise inconsistent with these Terms and Conditions

Next Capital Limited reserves the right to modify, suspend, or discontinue the Services or any part thereof at any time without notice. You acknowledge and agree that Next Capital Limited will not be liable to you or any third party for any modifications, suspensions, or discontinuations of the Services.

Company’s Rights

Next Capital Limited reserves the right to suspend the operation of the Services or any part or sections thereof at any time and no claims may be entertained against the Company in connection thereto

Force Majeure

In the event of force majeure, including but not limited to acts of government or legal authority, Next Capital Limited shall not be held liable to you or any other individual. Furthermore, Next Capital Limited shall not be responsible for any failure, damage, or destruction of your computer systems, data, or records, or for any delays, losses, errors, or omissions arising from the failure or mismanagement of any telecommunications or computer equipment or software.

Technical Problems

You acknowledge that while the Internet and the World Wide Web are generally reliable, there may be instances where technical problems or other conditions prevent or delay your access to the Services. Next Capital Limited shall not be held liable, and you agree not to hold Next Capital Limited or any of its agents or service providers liable, for any technical problems, system failures, communication line failures, equipment or software malfunctions, issues with system access, capacity limitations, high Internet traffic, security breaches, unauthorized access, or other similar computer problems and defects.

Next Capital Limited does not guarantee that you will always be able to access or use the Services at your preferred times or locations, nor does it guarantee that Next Capital Limited will have sufficient capacity to accommodate all users or in every geographic location.

Next Capital Limited does not guarantee uninterrupted and error-free service of the Services. User Content

Next Capital Limited will consider any Feedback you provide as non-confidential and non-proprietary. You should refrain from submitting any confidential or proprietary information or ideas to Next Capital Limited.

Next Capital Limited reserves the right (but is not obligated, except as required by applicable law) to review User Content, investigate, and take appropriate action at its sole discretion, including removing or modifying User Content, terminating accounts, or reporting users to law enforcement authorities.

This indemnification obligation applies immediately upon demand.

Without prejudice to any other rights stated in these Terms and Conditions, if you breach any provision herein, either in whole or in part, Next Capital Limited or any of its corporate affiliates providing the Services reserve the right to take appropriate action, including but not limited to terminating any agreement with you, blocking or terminating the Services provided to you, and pursuing legal action against you.

Governing Law and Court Jurisdiction

These Terms and Conditions are governed by the laws of Pakistan, regardless of your location or any business transactions with Next Capital Limited conducted elsewhere in the world.

In the event that any part of these Terms and Conditions is deemed unlawful, void, or unenforceable, that particular provision will be considered severable and will not affect the validity and enforceability of the remaining provisions.
